Terms of Service

Plain version: you own your data, we don't sell it, and you start with a two-week free trial. Nothing is charged during the trial.

These Terms of Service are an agreement between you and 17989296 Canada Inc., a Canadian federal corporation operating as "Kordis" ("Kordis," "we," "us," or "our"). These terms exist so you know exactly what you're signing up for, and what we commit to in return.

Acceptance of Terms

By accessing and using Kordis, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use Kordis.

These Terms apply to all users of Kordis, including customers who directly use the platform and individuals whose data is processed on our customers' behalf. Kordis is a cloud-based service designed for staffing and shift-based workforce businesses.

Description of Service

Kordis automates repetitive staffing operations through automated calls, transcription, and compliance documentation. As a customer, you may use Kordis to:

  • Place outbound confirmation calls, prescreens, references, and dispatch calls to workers and candidates
  • Record and transcribe these calls, and score them against your custom rubric
  • Generate audit trails and compliance evidence (Record of Employment (ROE) tracking, provincial compliance, reference documentation)
  • Manage worker data (contact info, availability, direct deposit, tax documents)
  • Integrate with your payroll and HR systems via API

Kordis operates as a multi-tenant SaaS platform hosted on Microsoft Azure. Uptime and availability are detailed in our Service Level Agreement (SLA), provided upon signing your Order Form.

Your Responsibilities

3.1 Lawful Use

You are solely responsible for ensuring that your use of Kordis complies with all applicable laws. You must:

  • Comply with employment law, including wage and hour, equal employment opportunity, background check regulation, and worker classification rules
  • Comply with telephony and messaging law, including Canadian Anti-Spam Legislation (CASL), the CRTC's telemarketing and automatic-dialing rules, the United States Telephone Consumer Protection Act where you operate there, and similar regulations in other jurisdictions
  • Comply with data privacy law, including PIPEDA (Personal Information Protection and Electronic Documents Act), the provincial privacy statutes that apply where you operate, and, where they apply to you, the GDPR (General Data Protection Regulation, EU) and the CCPA (California Consumer Privacy Act)
  • Not use Kordis for any unlawful, harassing, threatening, abusive, or discriminatory purposes

3.2 Accuracy of Worker Data

You must ensure that all worker personal data you provide to Kordis (name, phone number, Social Insurance Number, employment authorization, background check results) is accurate, complete, and lawfully obtained. If you discover inaccurate data, you must correct or delete it immediately.

3.3 Consent for Outbound Contact

You are responsible for obtaining all necessary consents before Kordis contacts workers or candidates on your behalf:

  • Canada's Anti-Spam Legislation (CASL) (Canada): You must obtain express consent before sending electronic messages (SMS) or placing calls to Canadian numbers. Workers may unsubscribe at any time by replying STOP to any message.
  • National Do Not Call List (DNCL) (National Do Not Call List): You must honor all federal Do-Not-Call registry requirements.
  • Revocation: If a worker revokes consent or requests removal from calling, you must notify us immediately.

3.4 Data Processing Compliance

You are the data controller for all worker data. You must:

  • Provide privacy notices to workers explaining that their data will be processed by Kordis
  • Ensure your privacy policy discloses our use of third-party processors (Twilio, Deepgram, ElevenLabs, Microsoft Azure, etc.)
  • Review and execute our Data Processing Addendum (DPA), if required by applicable data protection law
  • Respond to data subject access requests and rights exercises within the required timeframe (and notify us to assist)

We provide a sample privacy notice template. Your notices must disclose: (a) data is processed by Kordis, (b) call recording and transcription occurs, (c) personal data (SIN, DOB, bank details) is encrypted at rest, (d) access is logged. You remain responsible for worker consent and compliance with applicable laws.

3.5 Compliance Documentation

You must maintain all required employment and compliance documentation, including:

  • Record of Employment (ROE) and provincial employment records
  • TD1 (Federal Tax Deduction Return) and provincial tax withholding forms
  • Direct deposit authorization
  • Background check results (with consent records)
  • Consent records for Canada's Anti-Spam Legislation (CASL) (Canadian Anti-Spam Legislation)and other telephony regulations

Kordis assists with compliance tracking and audit evidence, but you remain the responsible party for correctness and timely completion.

Acceptable Use Policy

You agree not to use Kordis in any of the following ways:

  • To harass, threaten, abuse, discriminate against, or defame any individual
  • To collect, disclose, or use personal data for any unlawful or fraudulent purpose
  • To impersonate any person or organization
  • To violate any applicable law or regulation
  • To access any part of Kordis not authorized for your account
  • To interfere with, disrupt, or damage the functionality of Kordis or its servers
  • To reverse-engineer, decompile, or attempt to derive the source code of Kordis
  • To conduct security testing without prior written permission from Kordis
  • To use Kordis for any automated data scraping or bulk data extraction

Violation of this Acceptable Use Policy may result in suspension or termination of your account, and the free trial and billing terms in Section 5 do not entitle you to a refund of fees already paid in such cases.

Fees and Billing

5.1 Pricing Model

Kordis is priced as one flat monthly fee for your agency, not per seat and not per call. Your pricing and payment terms are set forth in your signed Order Form. Pricing is exclusive of applicable sales tax, VAT, and similar taxes.

5.2 Billing Cycle

New subscriptions begin with a two-week free trial (see Section 5.4). After the trial, your subscription renews month-to-month (default) unless your Order Form specifies a longer commitment, and you are invoiced at the beginning of each renewal period.

5.3 Payment

Payment is due net 30 days from invoice date, unless otherwise stated in your Order Form. If payment is not received by the due date, Kordis may suspend your access until the invoice is paid. Late payments may accrue interest at 1.5% per month (18% annually).

5.4 Free Trial

Two-week free trial
New subscriptions begin with a two-week free trial on your real operation. You are not billed during the trial. At the end of the trial, you choose whether to continue; billing begins only if you opt to subscribe.
No charge during the trial
Because no payment is taken during the trial, there is nothing to refund for the trial period. If you decide not to subscribe, your trial simply ends and you may export your data.
After you subscribe
Billing is month-to-month unless your Order Form specifies otherwise. You may cancel anytime, which stops future renewals. Payments already made for the current period are non-refundable, and no refund is issued for the remainder of a period or any remaining prepaid fees on early termination.
Data export
Upon termination, you have 30 days to export your data before your account is deleted.

Data Ownership and Confidentiality

6.1 Your Data

You retain all ownership and intellectual property rights in the worker data, company data, and documents you upload to Kordis. We do not claim ownership of your data.

6.2 Our Use of Your Data

We process your data solely to provide Kordis services to you. We do not sell your data, and we never use it to train or fine-tune the technology that powers Kordis or to improve our service for other customers. Your data is used only to answer your own questions and run your own account. If you request data deletion, your data is purged from our systems and backups within 30 days. Our use of your data is governed by our Privacy Policy.

6.3 Confidential Information

Each party agrees to treat the other party's Confidential Information (including passwords, API keys, service features, and pricing) as confidential. You may not disclose Kordis Confidential Information without our prior written consent. Confidential Information does not include information that is publicly available through no breach of this agreement.

Service Availability and Limitations

7.1 No Guarantee of Uninterrupted Service

While we aim to maintain high uptime, Kordis is provided "as-is." We do not guarantee that the service will be uninterrupted, error-free, or completely secure. Scheduled maintenance, emergencies, and force majeure events may cause downtime.

7.2 Service Level Agreement

Our target uptime and remedies for downtime are detailed in the SLA attached to your Order Form. The SLA is the sole remedy for service unavailability.

7.3 User Support

We provide support through workspace chat and email during business hours (Monday to Friday, 9 a.m. to 5 p.m. Eastern Time). Support inquiries are handled on a best-effort basis. If a separate Order Form includes an additional support commitment, that Order Form governs.

Limitation of Liability

8.1 Disclaimer of Warranties

Please read this clause

Kordis is provided "as-is" without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8.2 Liability Cap

To the maximum extent permitted by law, our total liability for any claim arising from or relating to Kordis shall not exceed the fees you have paid us in the 12 months preceding the claim. This cap applies to all claims, whether in contract, tort, or otherwise.

8.3 Excluded Damages

In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or lost data, even if advised of the possibility of such damages.

8.4 Indemnification

You agree to indemnify and hold Kordis harmless from any claims, damages, or costs arising from:

  • Your violation of these Terms or applicable law
  • Your use of Kordis in a manner not authorized by us
  • Your failure to obtain worker consent (CASL, CRTC rules, and equivalent law where you operate)
  • Claims by workers or third parties related to your staffing operations, data handling, or compliance failures
  • Your breach of applicable employment law, data protection law, or this Terms

Kordis will indemnify you for claims that our infrastructure, systems, or services breach data protection or confidentiality obligations due to our negligence or willful misconduct, subject to the liability cap in Section 8.2.

Term and Termination

9.1 Subscription Term

Your subscription begins when your two-week free trial ends and you choose to continue. It then renews month to month, and it keeps renewing monthly until you cancel. There is no annual commitment and no minimum term. If you and Kordis have signed an Order Form that sets a different term, that Order Form governs; absent one, the term is monthly.

9.2 Termination by You

You may cancel anytime, which stops future renewals; cancellation becomes effective at the end of the current billing cycle. Your subscription begins only after your two-week free trial, during which you are not billed (see Section 5.4). Once you have subscribed, payments for the current period are non-refundable.

9.3 Termination by Kordis

Kordis may terminate or suspend your account immediately if you:

  • Violate these Terms or the Acceptable Use Policy
  • Fail to pay invoices after 30 days past due
  • Use Kordis in violation of law
  • Create a security risk or attempt to hack, reverse-engineer, or disrupt Kordis
  • Harass our staff or engage in abusive behavior

9.4 Effect of Termination

Upon termination, your access to Kordis is revoked immediately. You have 30 days to request an export of your data. After 30 days, we will delete your data in accordance with our data retention policy. You remain liable for any unpaid fees and any breaches of these Terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you via email at least 30 days before they take effect. Your continued use of Kordis after the effective date of new Terms constitutes your acceptance of them.

Entire Agreement

These Terms, together with your Order Form, any Data Processing Addendum, and our Privacy Policy, constitute the entire agreement between you and Kordis and supersede all prior or contemporaneous agreements. If any provision is found unenforceable, the remaining provisions shall remain in effect.
